1. Introduction

Thank you for choosing Goosey Goo Clothing Limited ("Goosey Goo", "we", "our", "us"). By subscribing to the Goosey Goo platform, you ("the Vendor", "you", "your") agree to be bound by the following Subscription Policy and Terms of Service, which govern your membership, use of the platform, responsibilities, and associated obligations.

Goosey Goo is a curated fashion marketplace offering vendors a powerful, multi-channel platform to sell both direct to consumers (D2C) and business-to-business (wholesale) to retail partners across Ireland and beyond.

This agreement outlines the terms of your subscription, fulfilment expectations, penalties for non-compliance, and ongoing responsibilities.

2. Nature of Membership

By subscribing to Goosey Goo, you are purchasing a Vendor Membership Package which provides:

  • A vendor storefront within the Goosey Goo platform
  • The ability to sell direct-to-consumer through our ecommerce marketplace
  • Access to wholesale/retail buying tools for B2B partnerships
  • Brand exposure, marketing support, and platform-driven promotional campaigns
  • Full access to your dashboard and analytics for performance tracking

This membership does not guarantee sales, but provides the infrastructure and visibility required to sell products through our marketplace.

3. Subscription Term and Contractual Commitment

3.1 Initial Grace Period

  • Upon subscribing, you will enter a 28-day grace period which allows you to explore the platform and cancel if it does not meet your expectations.
  • If you do not cancel within the 28-day period, your subscription will automatically convert into a 12-month fixed contract.

3.2 Contractual Obligation

  • Upon completion of the grace period, the Vendor agrees to commit to a minimum 12-month contract.
  • During this period, early termination is not permitted, and all subscription fees must be paid in full.

3.3 Renewal and Exit

  • To exit the agreement, you must give no less than 28 days' written notice prior to the end of the 12-month period.
  • Failure to provide such notice will result in automatic renewal of your membership for an additional 12-month term under the same terms.

4. Refund Policy

There are strictly no refunds available for subscription fees at any point — including within the 28-day grace period.

By subscribing, you agree and acknowledge that the membership fee is non-refundable and that all obligations under this agreement remain enforceable for the full term.

5. Fulfilment and Shipping Responsibilities

Vendors are expected to maintain professional service standards to ensure customer satisfaction and platform integrity.

5.1 Direct-to-Consumer (D2C) Orders

  • All D2C orders must be processed and shipped same day or by the next working day.
  • You are required to provide order tracking and confirmation through the vendor dashboard.

5.2 Wholesale (Retail) Orders

  • All wholesale orders must be fulfilled and shipped within seven (7) business days of order receipt unless otherwise agreed in writing.
  • Delays must be communicated to Goosey Goo and the retail customer in advance.

6. Non-Compliance and Penalties

Vendors are required to fulfil all orders in accordance with Section 5. Failure to comply will result in the following:

  • Automatic financial penalties charged to the payment method on file for any orders not dispatched within the agreed timeframes.
  • Goosey Goo reserves the right to suspend or terminate any vendor account found to be in regular breach of fulfilment obligations or platform policies.
  • Reputational damage caused by vendor negligence may result in removal from promotional features, the homepage, or search priority.

7. Payment Terms

  • Subscription fees are billed monthly via the payment method provided at registration.
  • Vendors are required to maintain a valid payment method on file at all times.
  • Missed or declined payments may result in account suspension, access limitations, and late fees.
  • All subscription fees are payable in advance and are non-refundable under any circumstances.

8. Termination

8.1 Termination by Vendor

  • Cancellation within the first 28 days must be sent to honk@gooseygoo.ie and will prevent conversion to a 12-month contract.
  • After the 28-day window, cancellation is only valid if 28 days' notice is given prior to the end of the 12-month term.

8.2 Termination by Goosey Goo

We reserve the right to suspend or terminate your subscription without refund if:

  • You breach any fulfilment responsibilities
  • You engage in fraudulent, abusive, or unethical behaviour
  • You damage the reputation of Goosey Goo, its vendors, or customers

9. Use of Platform

Vendors agree to:

  • Accurately represent their brand, products, pricing, and stock
  • Maintain high-quality product imagery and descriptions
  • Honour all platform-wide promotions and delivery timelines
  • Ensure all sales through Goosey Goo are fulfilled exclusively through the platform unless agreed otherwise

Goosey Goo reserves the right to remove any listings or accounts deemed to violate platform standards, or that receive persistent negative feedback.

10. Limitation of Liability

Goosey Goo shall not be held liable for any indirect, incidental, special, or consequential damages arising from your use of the platform or participation in the vendor program.

You agree to indemnify and hold harmless Goosey Goo from any claims, liabilities, or damages arising from your failure to meet shipping requirements or misrepresentations of your brand.

11. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Ireland. Any disputes arising shall be subject to the exclusive jurisdiction of the Irish courts.
